5. Confidentiality and NDA
All client submissions, documents, and communications are treated as strictly confidential. Unless a separate NDA is executed, your submission of an intake form constitutes acceptance of our mutual non-disclosure terms: we agree not to disclose your identity, transaction details, or documents to third parties except as necessary to perform the Services, comply with legal obligations, or prevent fraud.
You agree not to disclose our findings, reports, or methodologies to third parties without our prior written consent, except where required by law or to your professional advisers bound by confidentiality.
6. Intellectual Property
All content on the Website — including text, graphics, logos, trademarks, and software — is the property of VeritasLedger Global or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Reports, deliverables, and work product created under an Engagement are owned by VeritasLedger Global until full payment is received. Upon full payment, you receive a non-exclusive, non-transferable licence to use the deliverables for the specific purpose described in the Engagement. You may not reproduce, distribute, or create derivative works from our deliverables without written permission.
7. Disclaimers
The Website and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, VeritasLedger Global disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Our Services involve professional judgment applied to information provided by clients and publicly available sources. While we exercise due care and skill, we cannot guarantee the accuracy, completeness, or timeliness of third-party data, blockchain records, or registry filings. Our reports are opinions based on the information available at the time of investigation and are not guarantees of future performance or outcomes.
The AI support chat provides general informational responses only. It does not constitute legal, financial, or compliance advice. Do not rely on AI-generated responses as a substitute for professional advice tailored to your specific situation.
8. Limitation of Liability
To the maximum extent permitted by applicable law, VeritasLedger Global and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or relating to your use of the Website or Services, even if advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services — whether in contract, tort, or otherwise — shall be limited to the lesser of (a) the total amount paid by you to VeritasLedger Global in the 12 months preceding the claim, or (b) USD 50,000.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited or excluded under applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless VeritasLedger Global and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your misuse of the Website or Services; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party right.
10. Payments and Refunds
Fees for Services are quoted in writing before Engagement commencement. Unless otherwise agreed, invoices are payable within 14 days of issue. We accept payment in fiat currency and selected cryptocurrencies as disclosed on our payment page.
Cryptocurrency payments are final once the transaction is confirmed on-chain. Fiat refunds, where applicable, are processed to the original payment method within 14 business days. No refunds are provided for Services already rendered or reports already delivered.
We reserve the right to suspend Services for overdue accounts after written notice.
11. Termination
Either party may terminate an Engagement in accordance with the written agreement governing that Engagement. We may suspend or terminate your access to the Website or AI chat at any time, without notice, for conduct that we believe violates these Terms or is harmful to us, other users, or third parties.
Upon termination of an Engagement, all confidentiality obligations, intellectual property provisions, and limitation of liability provisions survive.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Terms or the Services shall first be addressed through good-faith negotiation. If negotiation fails, the parties agree to submit the dispute to binding arbitration administered by the London Court of International Arbitration (LCIA) under its rules. The seat of arbitration shall be London, England, and the language shall be English. Judgment on the award may be entered in any court of competent jurisdiction.
Nothing in this section prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.
